# Mode's BizBuyData program: what $100K–$5M, a 14-day LOI and a 6% referral fee each establish

A new enterprise-data program publishes an indicative estimate, a nonbinding letter of intent and a referral bounty. Each answers a different question about what a seller actually gets.

## An estimate from a calculator is not a price list

Mode.Inc announced BizBuyData.com on October 13, 2026 as a data licensing program that pays eligible organizations for records they already hold. The program page leads with a range: your company's data could be worth $100K–$5M. That figure comes from a value-your-data estimator with a short list of inputs, and the estimator states its own limit - the estimated payout range is indicative only and subject to a full review of your internal tools and data volume.

The announcement describes the same first step. An interested organization receives an initial estimate; no price schedule is published, and the release says payment varies based on the amount and type of eligible data. That places the advertised range in the estimate stage rather than the offer stage. An estimate is a model output, an offer proposes an amount for a defined scope, and a payment is money received. Comparing the three as if they were one document is how an advertised ceiling becomes a budget line.

- Record which inputs produced the number: employee counts, years of operational data and where the team is based.
- Keep the provider's own 'indicative only' label attached whenever the range is quoted.
- Ask what evidence converts an estimate into a written offer, and on what scope.

## The $1B figure on these pages is a consumer number

The program pages pair the data offer with a large consumer metric: over one billion dollars in earnings and savings facilitated through Mode's consumer businesses. Mode's own about page states it the same way, listing $1B+ in earnings and savings facilitated through its consumer businesses alongside $120M+ raised and 68,000+ shareholders. Business Insider reported in June 2026 that Mode had handed out $1 billion in earnings, savings and incentives to people using its apps.

That is a consumer-rewards total, not a distribution of licensing payments to company-data sellers, and Mode has not published an aggregate paid to participating organizations. Dividing a platform-wide number by an unknown participant count would invent a statistic. If a figure is meant to describe what an owner might receive, ask for its denominator: how many organizations were paid, over what period, and on which record types.

- Identify which party received a reported total before treating it as relevant to a licensing program.
- Ask for amounts paid to participating organizations, tracked separately from platform earnings.
- Treat capital raised, shareholder count and app reach as company facts, not as valuation inputs for your records.

## A 14-day nonbinding LOI holds the estimate, not your price

The release sets out a sequence. An organization receives an initial estimate, then a 14-day nonbinding letter of intent holds that estimate while Mode assesses the data, with one seven-day extension available at Mode's request. A final offer follows. After an organization accepts, the release says Mode collects and de-identifies the data over 15 to 30 days before it is shared for AI training, and that payment is expected within approximately 60 days.

Three steps in that chain remain unpublished. The release does not say which event starts the roughly 60-day payment expectation - acceptance of the offer, completion of de-identification, or delivery onward. It does not state who applies the acceptance test to the delivered data. And it does not describe what happens to records that have been collected if no license is ultimately executed.

A letter of intent described as nonbinding is also not a price guarantee. Its stated function here is to hold an estimate while assessment runs, which is useful for planning a conversation and insufficient for planning cash flow.

- Get the payment trigger in writing: the exact event that starts the clock and the evidence that closes it.
- Ask which party determines acceptance, against what criteria, and what remedy applies if they are not met.
- Ask what happens to already-collected records, including any de-identified copies, if no license is signed.

## The referral fee is calculated on license fees actually paid to the company

Mode publishes a referral program alongside the seller program. A qualified direct referral pays the greater of $50,000 or 6% for the first five qualified US referrals, with higher lifetime tiers; a secondary referral pays the greater of $5,000 or 1%. Mode states that the percentage is based on license fees actually paid to the company, excluding taxes and reimbursements, that rewards follow completion of the operating-data transaction, and that referrals outside the US earn 6% with no minimum.

Two details matter more than the bounty. First, the referral terms describe the seller's money as license fees actually paid, which supports reading this as a licence rather than an outright sale of the records. Second, the reward scales with the transaction, so it is an arithmetic cross-check on the advertised range: at the top of the $100K–$5M estimate, 6% of a $5 million payment is $300,000, far above the $50,000 floor. That does not show the range is wrong; it shows the range spans a fifty-fold difference, so a single quoted figure says very little about any particular company.

- A referral reward is paid to the introducer, not to the data owner.
- Use a third party's enthusiasm as a prompt to read the program terms directly.
- Answer your own scope and rights questions, not the one an introducer is rewarded for answering.

## Lower thresholds for law and accounting firms show what the filter tracks

Published eligibility is at least 20 full-time US office employees using digital workplace tools, with lower thresholds for two professions: 10 employees for accounting firms and six for law firms. The release gives the reason - AI labs are prioritizing legal and accounting data. The referral page adds that organizations with several years of operating records they own and teams primarily based in the US are the strongest fit, and that Mode reviews the systems, history, ownership and available data before making an offer.

That combination refines a common reading of headcount criteria. Here the employee threshold is not a neutral measure of operational maturity; it is set to the size at which a firm of a given type is likely to hold the records buyers currently want. Two consequences follow. 'Strongest fit' is neither eligibility nor acceptance, so a qualifying company still faces assessment. And a company just below a threshold has a better question available than how to restate its headcount: which practice area, system and record type is actually in demand.

- Ask whether the count means current full-time staff, contractors or historical headcount.
- Ask which systems and date ranges the assessment values.
- Do not inflate headcount; treat a published threshold as a filter, not a qualification.

## What this announcement does not establish

The $5 billion figure describes the announced scale of the initiative. It is not disclosed committed capital, an audited budget, or a sum reserved for sellers, and none of it is earmarked for a particular organization. Mode's about page says the written agreement defines the scope, the payment schedule and any exclusivity, which leaves licence duration and exclusivity as negotiated terms rather than published policy. The labs that ultimately receive the data are not named.

In this research pass, completed on October 14, 2026 from public sources, we did not establish an independently evidenced payout to a named operating business under this program, and we found no representative payout distribution. That is a limit of the evidence available, not a finding that no organization has been paid. Treat the announcement as a reason to run the same diligence as on any comparable program: identify the contracting entity, confirm whether the transaction is a licence or a transfer, resolve which material is client-owned or confidential, and require scope, rights and payment triggers in writing before anything is shared.

- Separate the initiative's announced size from your own offer and payment.
- Confirm the contracting entity and whether the deal licenses rights or transfers them.
- Do not treat a provider announcement as third-party verification of seller payments.
